Welcome to WarehouseAddress.com (“Warehouse Address”, “we”, “us”, “our”). These Terms of Service govern your use of our website and all services provided by us.

By accessing or using our website and services, you agree to be legally bound by these Terms. If you do not agree, you must not use our services.

1. Acceptance of Terms

By registering, subscribing, or using our services, you confirm that you:

  • Are legally capable of entering into a binding agreement.
  • Accept these Terms in full.
  • Agree to comply with all applicable laws and regulations.

2. Services Provided

Warehouse Address provides:

  • Virtual warehouse address services
  • Business and trading address use
  • Mail handling
  • Parcel receiving
  • Returns handling
  • Parcel forwarding
  • Storage (where applicable)
  • Customer dispatch services
  • Related administrative services

2.1 Global Enterprise Plus Plan

Under the Global Enterprise Plus Plan, we may provide mail and parcel management and dispatch goods directly to your customers, subject to operational limits and compliance requirements.

3. Subscription Plans

All services are subscription-based.

By selecting a plan, you agree to:

  • Pay the applicable fees displayed at checkout.
  • Maintain an active paid subscription to continue using the address and services.

Plans may be:

  • Monthly (one-time or recurring)
  • Annual (discounted)

We reserve the right to modify pricing at renewal.

4. Payments

Payments must be made through our authorised payment processors.

By providing payment details, you authorise us to:

  • Charge your selected payment method.
  • Automatically collect recurring subscription fees (if applicable).

Failure of payment may result in immediate suspension of services.

5. Cancellation Policy

You may cancel at any time.

However:

  • No refunds are provided for the current billing period.
  • Monthly cancellations take effect at the end of the billing cycle.
  • Annual plans remain active until the end of the paid term.
  • No partial refunds are issued.

6. Customer Responsibilities

You agree to:

  • Provide accurate and complete information.
  • Keep your account details updated.
  • Maintain confidentiality of your login credentials.
  • Ensure all goods sent to us are lawful and compliant.

You are fully responsible for all activity under your account.

7. Prohibited Activities

You must not use our services to:

  • Conduct illegal activities.
  • Misrepresent identity or business status.
  • Interfere with system security.
  • Receive, store, or forward illegal, counterfeit, dangerous, or restricted goods.
  • Evade customs, tax, or regulatory obligations.

Breach may result in immediate termination without refund.

8. Mail Handling, Storage & Parcel Forwarding Services

8.1 Role of Warehouse Address

Warehouse Address acts strictly as a third-party mail handling, storage, and forwarding service provider.

We are not:

  • The owner of goods
  • The buyer or seller
  • The importer or exporter of record
  • A distributor or manufacturer
  • A common carrier

All goods remain the sole legal responsibility of the Customer at all times.

8.2 Mail Handling & Forwarding Fees

Mail and parcels may be consolidated and dispatched together. A handling fee of £1.95 plus VAT applies per shipment (not per individual item). Postage costs are charged separately based on the selected shipping method (e.g. Royal Mail or courier services). Prices may vary depending on size, weight, and destination.

We reserve the right to consolidate multiple items into a single shipment where operationally appropriate.

8.3 Importer of Record & Customs Responsibility

For international shipments:

  1. The Customer is the sole Importer of Record.
  2. The Customer is responsible for:
  • Customs declarations
  • VAT and duties
  • Regulatory compliance
  • Product safety certification
  • Licensing requirements

We are not liable for:

  • Customs delays
  • Seizures
  • Inspections
  • Penalties
  • Misdeclarations

We reserve the right to share Customer information with HMRC, Border Force, couriers, or authorities where required.

8.4 Courier & Forwarding Liability

Where we generate a shipping label using our courier account:

  • We act only as a forwarding agent.
  • The Customer confirms goods are lawful, non-hazardous, and accurately declared.

The Customer agrees to indemnify us against:

  • Courier fines or surcharges
  • Dangerous goods penalties
  • Regulatory enforcement
  • Insurance disputes
  • Seizures
  • Chargebacks
  • Unpaid courier fees

We are not liable for:

  • Loss in transit
  • Damage in transit
  • Delivery delays
  • Address errors supplied by the Customer

8.5 Inspection & Refusal Rights

We may:

  • Open parcels where reasonably necessary.
  • Refuse suspicious or non-compliant goods.
  • Return goods at Customer expense.
  • Dispose of prohibited goods where legally required.

8.6 Prohibited & Restricted Goods

Customers must not send:

  • Dangerous or hazardous materials
  • Explosives or flammable goods
  • Counterfeit items
  • Controlled substances
  • Weapons
  • Tobacco or alcohol (unless pre-approved)
  • Regulated medical devices (unless compliant)
  • Any item requiring special licence without approval

Violation may result in immediate account termination.

8.7 Lien Over Goods

We reserve the right to retain possession of goods until all outstanding charges are paid.

If payment is not received within a reasonable time, we may:

  • Suspend service
  • Refuse dispatch
  • Dispose of goods after notice
  • Recover unpaid amounts legally

9. Returns Handling – Fair Usage

Returns handling is subject to fair use.

High-volume, oversized, heavy, or long-term storage may:

  • Require plan upgrade
  • Incur additional fees
  • Be refused at our discretion

10. Address Use, Fees & Debt Recovery

10.1 Active Subscription Required

Address use is strictly conditional upon an active paid subscription.

If cancelled or expired, you must immediately cease using the address.

10.2 Unauthorised Address Use

Continued use without subscription constitutes unauthorised use.

We may:

  • Suspend or terminate services
  • Refuse or return mail
  • Notify third parties
  • Require address removal

10.3 Unauthorised Use Fee

£99 per month (or part thereof) may apply for unauthorised use.

This represents administrative and compliance costs and is not a penalty.

10.4 Enforcement Fee

A £149 one-off enforcement fee may apply where manual compliance action is required.

10.5 Mail Handling During Unauthorised Use

£10 per item may be charged, plus postage and storage.

10.6 Debt Recovery

We may appoint third-party debt recovery agencies.

We may share necessary account information in accordance with data protection laws.

Reasonable recovery costs may be added where permitted by law.

11. Returned Shipments – Handling & Dispatch

Returned shipments under eligible plans:

  • May be forwarded free if using our Parcelforce account.
  • Customer remains responsible for packaging and shipping costs.

Dispatch Times:

  • UK: 1–2 working days
  • Europe: 3–7 working days
  • Worldwide: Subject to courier availability

Alternative courier use incurs £4.99 handling fee.

Personal collection is strictly prohibited.

12. Limitation of Liability

To the fullest extent permitted by law:

We shall not be liable for:

  • Indirect or consequential losses
  • Loss of profit or business
  • Courier failures
  • Customs actions
  • Third-party actions

Our total liability shall not exceed the fees paid by you in the preceding 3 months.

13. Indemnification

You agree to indemnify and hold harmless Warehouse Address, its directors, officers, and employees against all claims, fines, penalties, losses, legal costs, courier surcharges, customs liabilities, and regulatory enforcement arising from:

  • Your use of the services
  • Goods received, stored, or forwarded on your behalf
  • Breach of these Terms

14. Changes to Terms

We may update these Terms at any time.

Changes take effect upon publication.

Continued use constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of England and Wales.

Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

WarehouseAddress.com – Partner Terms & Conditions

These Partner Terms & Conditions (“Terms”) apply to all businesses that apply to become, or operate as, a partner of WarehouseAddress.com (“WarehouseAddress.com”, “we”, “us”, “our”).

By applying to become a partner, paying any activation fee, or continuing to participate as a partner, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Relationship Between the Parties

1.1 Partners operate as independent businesses.
1.2 Nothing in these Terms creates a partnership, joint venture, franchise, agency, or employment relationship.
1.3 Partners have no authority to bind WarehouseAddress.com or act on its behalf.

2. Nature of the Service

2.1 WarehouseAddress.com operates a platform that connects businesses requiring warehouse or business address services with approved partner locations.

2.2 Services may include, but are not limited to:

  • Mail receiving
  • Parcel receiving
  • Returns handling
  • Business or trading address use

2.3 Partners choose which services they offer. WarehouseAddress.com does not require partners to provide fulfilment, pick-and-pack, or logistics services.

3. Partner Eligibility & Approval

3.1 All partner applications are subject to review and approval.
3.2 WarehouseAddress.com reserves the right to accept or decline any application at its sole discretion.
3.3 Approval may depend on location, capacity, compliance requirements, and customer demand.

4. Partner Responsibilities

Partners agree to:

4.1 Maintain a professional warehouse, industrial unit, or business premises suitable for receiving deliveries.
4.2 Handle mail and parcels responsibly and securely.
4.3 Comply with all applicable local laws, regulations, and industry requirements.
4.4 Maintain appropriate insurance for their premises and operations.
4.5 Refuse illegal, prohibited, or dangerous items.
4.6 Treat all customer and platform information as confidential.

5. Fees & Earnings

5.1 Standard Partner Activation Fee

5.1.1 Standard Partners are required to pay a one-time activation fee of £499 plus VAT (where applicable).
5.1.2 The activation fee is payable upfront only after the partner location has been approved.
5.1.3 The fee covers location review, onboarding, compliance and due-diligence checks, platform setup, and administrative costs.
5.1.4 The activation fee does not guarantee any level of earnings, customer volume, or demand.
5.1.5 Where a Standard Partner location is not approved following due-diligence checks, the activation fee will be refunded, excluding any non-recoverable third-party costs incurred during the review process.

5.2 Priority Partner Activation Fee

5.2.1 Priority Partners pay a one-time activation fee of £995 plus VAT (where applicable).
5.2.2 The Priority Partner fee covers accelerated onboarding, increased marketing investment, and priority positioning within the platform.
5.2.3 The Priority Partner activation fee does not guarantee earnings.

5.3 Monthly Admin & Compliance Fee

5.3.1 A monthly admin and compliance fee of £199 applies to all partners.
5.3.2 This fee is deducted from partner earnings and is never payable out of pocket.
5.3.3 If earnings in any month are below £199, only the amount earned is deducted and no additional charge is taken.

5.4 Commission

5.4.1 A commission applies to earnings generated through WarehouseAddress.com.
5.4.2 Standard Partner commission: 30%.
5.4.3 Priority Partner commission: 20% for the first 12 months from activation, after which the standard 30% commission applies.
5.4.4 Commission is calculated on net earnings (excluding VAT).

5.5 Additional Affiliate Commission

5.5.1 Where a customer is acquired through a third-party affiliate, referral, or external marketing programme, an additional affiliate commission of 20% will apply to the revenue generated by that customer.
5.5.2 This affiliate commission is separate from and in addition to the standard WarehouseAddress.com commission outlined in these Terms.
5.5.3 The additional affiliate commission reflects external referral, marketing, and acquisition costs incurred by WarehouseAddress.com.
5.5.4 Customers acquired via affiliate or referral channels are clearly tracked, identified, and disclosed within the WarehouseAddress.com platform.
5.5.5 Affiliate commission rates may vary from time to time and will be disclosed prior to activation or within the platform.

5.6 VAT

5.6.1 All prices are exclusive of VAT unless stated otherwise.
5.6.2 Earnings, fees, and commissions are calculated excluding VAT.
5.6.3 VAT is applied where applicable in accordance with local regulations.
5.6.4 Where VAT is applicable, a valid VAT invoice will be issued.

6. Payments

6.1 Earnings are calculated and settled periodically as determined by WarehouseAddress.com.
6.2 Payments are made after applicable fees and commissions are deducted.
6.3 No minimum earnings are guaranteed.

7. Control & Flexibility

7.1 Partners may pause or stop participation at any time with reasonable notice.
7.2 WarehouseAddress.com may suspend or terminate participation for compliance, quality, legal, or operational reasons.
7.3 There are no long-term commitments.

8. Priority Partner Benefits

8.1 Priority Partner benefits may include:

  • Faster onboarding
  • Active customer acquisition
  • Priority routing and visibility
  • Area capacity limitations
  • Introductory commission discounts

8.2 Benefits vary by location, demand, and availability.

9. No Guarantees

9.1 WarehouseAddress.com does not guarantee:

  • Earnings
  • Customer volume
  • Geographic exclusivity

9.2 Earnings depend on demand, location, services offered, and market conditions.

10. Confidentiality & Data Protection

10.1 Partners must keep all customer and platform information confidential.
10.2 Partners must comply with applicable data protection and privacy laws.

11. Limitation of Liability

11.1 Each party is responsible for its own operations, premises, staff, and insurance.
11.2 WarehouseAddress.com is not responsible for losses arising from partner operations or customer interactions at partner premises.

12. Governing Law

12.1 These Terms are governed by the laws of England and Wales, regardless of partner location.

13. Changes to These Terms

13.1 WarehouseAddress.com may update these Terms from time to time.
13.2 Updated Terms will be published on the website and take effect from the stated date.

14. Non-Circumvention of Platform Customers

Partners agree not to directly solicit, contract with, or provide services to customers introduced through WarehouseAddress.com outside of the platform without prior written consent.

This includes:

  • Offering alternative pricing outside the platform
  • Redirecting customers to pay directly
  • Encouraging customers to bypass WarehouseAddress.com

This restriction applies during participation and for a reasonable period following termination.

15. Intellectual Property & Trademark

"Warehouse Address®" is a registered trademark in the United Kingdom. All rights are reserved.

Unauthorised use, reproduction, imitation, or misrepresentation of the "Warehouse Address®" name, brand, or associated materials without prior written consent is strictly prohibited and may result in legal action.

We reserve the right to enforce our trademark rights to the fullest extent permitted by law.
